Terms of Service

1. Parties

These Terms govern the relationship between Lucid Studio (the "Agency," "we," or "us") and the person or company that engages us (the "Client" or "you").

The Agency is operated by Kanavos Panagiotis and Katavatis Georgios. If either founder is under 18 at the time of a contract, any contract accepted on behalf of the Agency must be authorized by that founder's parent or legal guardian.

2. Services

We provide custom website design and development as described in the Proposal or Quote you receive from us (the "Work").

  • Discovery and brief
  • Up to 4 pages (Home plus 3 inner pages) with a mobile-first design
  • A content management system such as WordPress, Webflow, or similar
  • Basic SEO, including meta tags, schema, and performance optimization
  • 30-day post-launch support for bug fixes and minor tweaks up to 2 hours
  • Any additional features such as ecommerce, custom integrations, extra pages, extensive SEO, or ongoing maintenance will be quoted separately.

3. Timeline and delivery

  • Kick-off: 2 business days after receipt of the initial deposit.
  • Design phase: up to 2 weeks, subject to timely feedback.
  • Development phase: up to 2 weeks, subject to timely provision of content, assets, and approvals.
  • Launch: final delivery within 2 weeks from kick-off, unless delayed by the Client through missing assets, late feedback, or similar issues.
  • If the Client fails to provide required materials or approvals within the agreed timeframes, the delivery schedule will be extended accordingly and additional fees may apply.

4. Fees and payment

Total fee: $5,000 USD, or the equivalent in EUR at the date of invoicing.

  • Design milestone: 20% ($1,000) due after Client approval of the finished design.
  • Final delivery: 80% ($4,000) due after completion of the website and before launch, handover, or transfer of production access.
  • Payments are made via Stripe or PayPal using the payment link we send by email.
  • Late payments incur 1.5% monthly interest after 15 days past due.

5. Client obligations

  • Provide clear, complete, and timely feedback, content, images, and any required login credentials.
  • Ensure you own or have the right to use all content you supply, including text, images, logos, and fonts.
  • Grant us a non-exclusive, royalty-free license to use supplied materials solely to deliver the Work.
  • Failure to meet these obligations may delay the project and may result in additional charges.

6. Intellectual property

  • Design mockups, UI kit, and style guide: Transfer to the Client upon full payment.
  • Source code, site files, and assets created by us: Transfer to the Client upon full payment.
  • Pre-existing tools, libraries, and frameworks: Remain with their original owners, such as WordPress or React.
  • Agency portfolio material: We retain the right to display screenshots, case studies, and a description of the project in our portfolio unless the Client requests in writing that the work remain confidential.

7. Revisions and change requests

  • Included revisions: up to 2 rounds of design changes and 2 rounds of minor development tweaks, capped at 2 hours total.
  • Anything beyond the included revisions or any out-of-scope feature will be billed at $120 per hour after a written change order is approved by the Client.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party, including business plans, technical details, and pricing. This obligation survives termination of the agreement.

9. Warranty and limitation of liability

For 30 days after launch, we will fix bugs that prevent the website from functioning as delivered, such as broken links or broken forms. This does not cover content errors, third-party service outages, or changes requested after the warranty period.

In no event will the Agency be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, data, or business opportunity, even if we have been advised of the possibility of such damages. Our total cumulative liability will not exceed the total fees paid under this agreement.

10. Termination

The Client may terminate at any time by written notice. The Client remains liable for all fees earned up to the termination date, plus a termination fee equal to 30% of the remaining unpaid balance.

The Agency may terminate if the Client breaches any material term, such as non-payment after notice. Upon termination, we will deliver any completed work and retain payment for work performed up to that point.

11. Governing law and dispute resolution

These Terms are governed by the laws of Greece and the European Union, including the GDPR.

Any dispute will first be addressed through good-faith negotiations. If unresolved, the parties agree to mediation in Athens, Greece. If mediation fails, the exclusive jurisdiction will be the courts of Athens.

12. Force majeure

If performance is prevented by events beyond reasonable control, such as natural disasters, war, pandemic lockdowns, or internet outages, both parties will be excused from performance for the duration of the event and the schedule will be adjusted accordingly.

13. Entire agreement

These Terms, together with the Proposal or Quote, constitute the entire agreement between the parties and supersede any prior discussions, emails, or understandings.

14. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Notices

All notices must be sent in writing, and email is sufficient, to [email protected]. Lucid Studio is based in Greece.
